These Terms of Service (“Terms”) govern your access to and use of UrbanLoop websites, apps (including our tvOS display app and management apps), and related services (collectively, the “Services”). By using the Services, you agree to these Terms and to our Privacy Policy.
“Services” means our websites, apps (including tvOS display), APIs, and related features. “Software” means any apps or code we provide to you for use with the Services.
These Terms of Service are offered by Behrang Makouei, operating the UrbanLoop digital signage service, previously branded as EZ Plus / EZTV (“UrbanLoop,” “we,” “us,” or “our”). Business mailing address: 1234 Vallejo St., San Francisco, CA 94109, USA.
1) Eligibility & Accounts
- You must be at least 18 to create an account. Organizational users (e.g., schools or businesses) are responsible for their end users and for obtaining any required consents.
- You must provide accurate information and keep credentials secure. You are responsible for activity under your account.
- We may suspend or terminate accounts for violations of these Terms or for risk, fraud, or abuse.
2) Software License (EULA)
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use our software (the “Software”) on Apple TV for digital signage display and on supported browsers or devices for content management, solely to use the Services. Except as permitted by law, you may not reverse engineer, decompile, or create derivative works of the Software.
The Software may automatically download and install updates or patches. You consent to receive such updates so long as your device is connected to the internet and the Software is installed.
Some components of the Software may be provided under open-source licenses. If those terms conflict with these Terms, the open-source terms govern for those components.
3) Acceptable Use
- Do not use the Services for unlawful activities or to infringe third-party rights.
- No content that is illegal, hateful, harassing, pornographic, excessively violent, or that promotes self-harm.
- Do not attempt to access data without authorization, bypass security, or interfere with the Services.
- Fair use: We may apply reasonable technical limits (e.g., request rates, storage, bandwidth) to protect the stability and security of the Services.
- Do not attempt to bypass or exceed usage limits or quotas, perform load testing without consent, or run automated scraping that degrades the Services.
- Do not resell, lease, or provide the Services to third parties on a service-bureau basis without our written permission.
- No malware, spyware, or attempts to probe, scan, or test the vulnerability of the Services without authorization.
- Do not use the Services in high-risk environments requiring fail-safe performance (e.g., medical, life support, aviation, nuclear) where failure could lead to death, personal injury, or severe environmental damage.
4) User Content & License
You retain ownership of content you upload or display via the Services (“User Content”). You grant us a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers) license to host, store, reproduce, and display User Content solely to operate and improve the Services (including caching slide screenshots for displays, as described in the Privacy Policy). You are responsible for obtaining rights to any third-party materials you display.
5) Third-Party Services
- Google: Some features integrate with Google services (e.g., Slides, Calendar). Your use of Google services is governed by Google’s terms. We access only the data necessary to provide features and follow Google’s API Services User Data Policy (see our Privacy Policy).
- Apple tvOS requirements: You acknowledge that (i) this agreement is between you and UrbanLoop only, not Apple; (ii) Apple has no obligation to furnish any maintenance or support for the Software; (iii) Apple has no warranty obligations with respect to the Software, and any claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to any warranty are our responsibility to the extent required by law; (iv) Apple is not responsible for addressing any of your or any third party’s claims relating to the Software or your possession and/or use of the Software, including product liability claims, failure to conform to legal or regulatory requirements, consumer protection or similar claims, and intellectual property infringement claims; and (v) Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of them, have the right to enforce these Terms against you. You represent that your use complies with the App Store Usage Rules.
- You acknowledge and agree to comply with all applicable third-party terms of agreement when using the Software.
- Other third-party links or services are provided “as is” and their terms apply.
- Content you choose to display from third-party services (e.g., presentations, calendars, media) remains the responsibility of its owner; we do not assume liability for third-party content.
6) Purchases, Subscriptions & Billing
- Some features are free; premium features (e.g., branding removal, accelerated updates, or enterprise options) may require fees.
- Recurring billing: If you purchase a recurring subscription, you authorize recurring charges until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period.
- Refunds: Unless required by law, fees are non-refundable and non-creditable once the billing period begins except when agreed upon between us and the customer.
- How to cancel: You can cancel by emailing behrang@urbanloop.ai. Cancellation is effective at the end of the current billing period.
- Price changes: We will notify you in advance of any subscription price change and give you an opportunity to cancel before it applies to your next billing cycle.
- Non-payment: If a payment fails and remains unpaid after notice, we may suspend or downgrade access until the account is current.
- We use third-party payment processors; your payment information is handled by them under their terms.
- No proration: If you cancel during a billing period, service continues until period end; no partial refunds or credits are issued unless we agree otherwise in writing.
- Taxes: Fees are exclusive of taxes and government charges; you’re responsible for applicable taxes, except taxes on our net income.
7) Changes, Availability & Beta Features
We may change or discontinue parts of the Services at any time. Beta or pre-release features may be offered for testing “as is,” may be modified or withdrawn, and may not be as reliable as mainline features.
No SLA: Unless we have a separate signed service level agreement with you, the Services are provided without uptime, support, or availability commitments.
8) Intellectual Property
The Services, Software, and UrbanLoop marks are owned by us or our licensors and are protected by law. These Terms do not grant you any rights to our trademarks, logos, or branding.

10) Disclaimers
THE SERVICES AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE.
11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.
12) Indemnification
You agree to defend, indemnify, and hold harmless UrbanLoop and its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.
13) Governing Law; Arbitration; Class Waiver
- These Terms are governed by the laws of the State of California (without regard to conflicts of law).
- Informal resolution: Before filing a claim, you agree to email us at behrang@urbanloop.ai and attempt to resolve the dispute informally within 30 days.
- Arbitration: Any dispute not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration may be conducted by video/phone, based on written submissions, or in the county where you live, in San Francisco, California, or another location we both agree to.
- Small claims option: Either party may bring an individual action in small claims court.
- Class waiver: Disputes will be resolved only on an individual basis; class actions, class arbitrations, and representative proceedings are not permitted.
- Injunctive relief: Either party may seek injunctive or equitable relief in court to prevent unauthorized use or misuse of intellectual property or the Services.
- 30-day opt-out: You can opt out of arbitration by emailing behrang@urbanloop.ai within 30 days of creating your account with subject line “Arbitration Opt-Out.”
- Governing arbitration law: The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement.
14) Termination
You may stop using the Services at any time. We may suspend or terminate your access for any breach of these Terms or to comply with law.
Upon termination, all licenses granted to you end. Sections 3, 4 (solely as needed to wind down and comply with law), 6, 8–13, and 15–16 survive, and any accrued payment obligations remain due.
15) Changes to these Terms
We may update these Terms from time to time. The effective and last-updated dates above identify the current version. If changes materially affect your rights, we will provide additional notice. Continued use after changes become effective constitutes acceptance.
16) Miscellaneous
- Entire Agreement: These Terms and our Privacy Policy are the entire agreement.
- Severability: If any provision is unenforceable, the rest remain in effect.
- Assignment: You may not assign these Terms; we may assign them as part of a merger, acquisition, or sale of assets.
- Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
- Export & Sanctions: You will comply with U.S. and other applicable export control and sanctions laws and will not use the Services in embargoed or prohibited regions or for prohibited end uses.
- Notices: We may send you notices (including legal notices) by email to your account address or by posting within the Services.
- Feedback: If you provide suggestions or feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or compensation.
- Publicity: We may identify you as a customer (e.g., name and logo) on our site and marketing materials unless you opt out by emailing behrang@urbanloop.ai. We’ll stop new uses within 10 business days of receipt.
- Severability (arbitration): If the class waiver is found unenforceable as to a claim, the arbitration agreement is unenforceable as to that claim and it will proceed in court.
- No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
- Venue for non-arbitrable claims: For any claim that may proceed in court, the exclusive jurisdiction and venue are the state and federal courts located in San Francisco, California, and both parties consent to personal jurisdiction there.
- Aggregated data: We may generate de-identified and/or aggregated data from the Services and use it for analytics, service improvement, and business purposes. We own such aggregated data, which does not identify you.
